Code of Conduct

1. Purpose and Scope

FrontNexus is committed to conducting its business in accordance with the highest standards of ethics, integrity, professionalism, and corporate responsibility. This Code of Conduct (“the Code”) establishes the principles and behavioral standards that govern how FrontNexus conducts its operations and how individuals associated with the company are expected to act.

This Code applies to all employees, officers, directors, and board members of FrontNexus, as well as contractors, consultants, temporary workers, business partners, suppliers, and any third parties acting on behalf of FrontNexus.

Adherence to this Code is a condition of employment, engagement, and ongoing association with FrontNexus.

2. Ethical Values and Professional Conduct

FrontNexus expects all individuals subject to this Code to conduct themselves with honesty, integrity, and professionalism at all times. This includes a duty to:

  • Act ethically and in good faith in all business dealings
  • Comply with applicable laws, regulations, and internal governance frameworks
  • Safeguard the reputation, credibility, and long-term interests of FrontNexus
  • Treat colleagues, clients, partners, and stakeholders with fairness, dignity, and respect

Unethical behavior, misconduct, or failure to comply with this Code will not be tolerated.

3. Compliance with Laws, Regulations, and Policies

All individuals covered by this Code are required to:

  • Comply with all applicable local, national, and international laws and regulations
  • Follow FrontNexus policies, procedures, and lawful instructions
  • Perform their duties diligently, competently, and in the best interests of FrontNexus

Breaches of legal or regulatory obligations may result in disciplinary measures, termination of engagement, and, where applicable, legal proceedings.

4. Human Rights, Equality, and Inclusion

FrontNexus is committed to respecting internationally recognized human rights and to fostering an inclusive, diverse, and respectful workplace.

We strictly prohibit:

  • Discrimination based on race, color, nationality, ethnic origin, gender, age, disability, religion, sexual orientation, gender identity, or any other protected characteristic
  • Harassment, bullying, intimidation, or abusive conduct
  • Forced labor, child labor, or any form of unfair or unlawful employment practice

All employment-related decisions are based on merit, qualifications, performance, and business requirements.

5. Health, Safety, and Workplace Wellbeing

FrontNexus is committed to maintaining safe, healthy, and secure working environments.

All individuals must:

  • Comply with applicable health and safety laws and internal requirements
  • Act responsibly to protect their own health and safety and that of others
  • Refrain from violence, threats, or unsafe conduct
  • Not perform work while impaired by illegal drugs or alcohol

FrontNexus recognizes the importance of both physical and mental wellbeing and actively promotes responsible workplace practices.

6. Prevention of Bullying, Harassment, and Sexual Harassment

FrontNexus maintains a zero-tolerance approach to bullying, harassment, and sexual harassment.

Prohibited conduct includes, but is not limited to:

  • Offensive, humiliating, or intimidating behavior
  • Unwelcome sexual advances, comments, or conduct
  • Abuse of authority or power imbalances
  • Repeated or serious unreasonable behavior
  • Digital or online harassment, including via email or social media

A single serious incident may constitute a breach of this Code.

7. Anti-Corruption and Ethical Business Practices

FrontNexus strictly prohibits all forms of bribery and corruption and is committed to conducting business transparently and ethically.

Individuals must not:

  • Offer, give, solicit, or accept bribes or improper benefits
  • Make facilitation payments or engage in kickbacks
  • Use gifts, hospitality, or incentives to improperly influence decisions
  • Engage in fraud, deception, or misrepresentation

All business dealings must be lawful, transparent, and properly documented.

8. Conflicts of Interest

Individuals must avoid situations where personal interests conflict, or appear to conflict, with the interests of FrontNexus.

All actual, potential, or perceived conflicts of interest must be disclosed promptly, including:

  • Outside employment or advisory roles
  • Financial interests in competitors, customers, suppliers, or partners
  • Personal relationships that may influence professional judgment

FrontNexus reserves the right to require appropriate mitigation or corrective actions.

9. Confidentiality, Data Protection, and Information Security

All individuals are required to protect confidential and proprietary information, including:

  • Business, commercial, and strategic information
  • Client, partner, and employee data
  • Intellectual property and trade secrets

Confidentiality and data protection obligations continue after termination of employment or engagement.

10. Use of Company Assets and Technology

Company assets, systems, and digital resources must be used responsibly and solely for legitimate business purposes.

Prohibited conduct includes:

  • Misuse or unauthorized use of company property
  • Accessing, storing, or distributing illegal, offensive, or inappropriate content
  • Using company systems for personal gain or harmful activities

11. External Communications and Social Media

Only authorized individuals may speak on behalf of FrontNexus.

When engaging in public or external communications, individuals must:

  • Protect the reputation and interests of FrontNexus
  • Refrain from disclosing confidential or sensitive information
  • Comply with applicable communication and branding guidelines

12. Reporting Concerns and Whistleblowing

FrontNexus encourages the timely reporting of suspected misconduct, unethical behavior, or violations of this Code.

Reports may be made in good faith and without fear of retaliation. All concerns will be handled confidentially and investigated objectively and fairly.

Retaliation against individuals who raise concerns in good faith is strictly prohibited.

13. Consequences of Non-Compliance

Violations of this Code may result in disciplinary action, including termination of employment or contractual relationships. Where appropriate, violations may also be reported to relevant authorities and result in legal action.

14. Governance, Oversight, and Review

This Code of Conduct:

  • Is approved by FrontNexus senior leadership
  • Applies globally across all operations
  • Is reviewed and updated periodically to ensure alignment with legal, regulatory, ESG, and best-practice standards
  • Supports FrontNexus’s commitments to ESG, CSR, and responsible corporate governance
